Platform Terms of Use for Buyers and Vendors
Quscout ("Quscout", "we", "us", or "our") operates a business-to-business and business-to-consumer marketplace platform connecting buyers of construction and interior design materials with material suppliers, accessible via our website and mobile application (together, the "Platform").
These Terms & Conditions ("Terms") govern access to and use of the Platform by both Buyers and Vendors (each a "User", together the "Users"). By registering for, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
These Terms apply equally to Users located within the United Arab Emirates and to Users located outside the UAE who access or use the Platform (see Section 17).
The Platform is publicly available for download from app stores by both businesses and individual consumers, and is offered on a business-to-business and business-to-consumer basis. You must be at least 18 years old and legally capable of entering into binding contracts to register for or use the Platform. By registering, downloading, or clicking to accept, you confirm you meet this requirement and that your acceptance constitutes a valid electronic signature under applicable UAE law.
To register as a Buyer, you must provide accurate and current information, including your mobile number, company name (if applicable), email address, and the address(es) to which materials should be delivered. If you register on behalf of a company or other entity, you represent and warrant that you are authorised to bind that entity to these Terms.

You are solely responsible for ensuring your trade licence remains valid and current, and for promptly updating your registration information if it changes or your licence is renewed. Quscout may request updated documentation at any time and may suspend or restrict a Vendor account if a trade licence has expired or cannot be verified.
By registering, you acknowledge and agree that certain information you provide, including, for Vendors, your trade name, business details and catalogue, and for Buyers, information contained in an RFQ, will be visible to, or shared with, other Users as necessary to operate the Platform's matching, quotation and communication features, as further described in our Privacy Policy.
Quscout provides a technology platform that allows Buyers to submit RFQs and Vendors to submit Quotations in response, and facilitates the introduction, communication, and quotation exchange between them. Quscout is not a party to, and does not control, any transaction, agreement, or arrangement formed between a Buyer and a Vendor.
In particular, Quscout does not control two matters that are central to a Buyer's and Vendor's transaction: payment and fulfilment. Quscout does not: sell, supply, or deliver any materials; take title to, or possession of, any goods; inspect, verify, or guarantee the quality, safety, legality, or accuracy of any Vendor's Content, Quotation, or products; or collect, hold, or route any payment made between a Buyer and a Vendor, including advance payments. All payments are made directly between the Buyer and the Vendor, using a method they agree between themselves, and all delivery is arranged and carried out directly by the Vendor.
Quscout also ensures that, before a Buyer accepts any Quotation, the identity of the responding Vendor, including the Vendor's registered trade name and licence-verified business details, is clearly displayed to the Buyer as part of that Quotation. Buyers and Vendors therefore transact with full knowledge of one another's identity, and each has the ability to exercise their respective rights directly against the other, including under applicable UAE consumer protection law.
All contracts for the sale and delivery of materials formed following acceptance of a Quotation are directly between the Buyer and the Vendor. The Buyer and Vendor are solely responsible for agreeing and fulfilling the terms of that contract, including price, delivery, quality, and any warranty.
The Platform enables the following process, which Users agree to follow when using the RFQ feature:
Quscout may display Vendors, including Sponsored Listings, based on criteria we determine from time to time, including subscription tier, responsiveness, category relevance, and other factors. Inclusion as a Sponsored Listing does not constitute an endorsement or guarantee of a Vendor's products or service quality by Quscout.
The Platform provides an in-app chat feature to support communication between a Buyer and a Vendor in connection with an RFQ or Quotation. Chat conversations may only be initiated by a Buyer. By initiating a chat with a Vendor, the Buyer consents to that Vendor being able to respond to and otherwise contact the Buyer through the chat feature in connection with that conversation.
The chat feature must only be used for legitimate communication relating to RFQs, Quotations, and related business matters. Quscout may monitor, suspend, or restrict access to the chat feature in cases of suspected misuse, spam, harassment, or abusive conduct, and may (subject to applicable law) review chat content where necessary to investigate a complaint or suspected violation of these Terms.
Vendors and Buyers acting in a design capacity ("Designers") may publish posts to the Feed showcasing materials, products, or design work ("Posts"). Posts may be promoted as Sponsored Posts in exchange for a fee.
Quscout does not pre-screen or actively monitor Content, including Vendor catalogues, product images, or design Posts, for intellectual property infringement before it is published on the Platform. Each User is solely responsible for ensuring that Content they submit does not infringe the intellectual property or other rights of any third party.
If you believe that Content on the Platform infringes your intellectual property rights, please notify us at [email protected] with sufficient detail to identify the Content and the right claimed to be infringed. On receipt of a valid notice, we will review and, where appropriate, remove or disable access to the relevant Content.
Each User submitting Content agrees to indemnify Quscout against any claims, damages, or losses arising from a third-party claim that such Content infringes their intellectual property rights.
Quscout is a matchmaking, advertising, and communication platform. Quscout does not collect, hold, route, or process any payment made between a Buyer and a Vendor, and is not a party to any payment. All payments for materials are made directly between the Buyer and the Vendor, using cash, bank transfer, card, or any other method they agree between themselves.
When a Buyer accepts a Quotation, payment is arranged and completed directly between the Buyer and the Vendor, outside the Platform. Quscout is not a party to this payment and bears no responsibility for any dispute, shortfall, non-payment, fraud, or other issue arising from it. Any advance payment arrangement agreed between a Buyer and a Vendor is made entirely at their own risk and is a matter solely between them.
The Vendor, as the seller of the materials, is solely responsible for issuing a proper invoice directly to the Buyer for each completed sale, in the Vendor's own name and in accordance with applicable UAE law, including VAT requirements where the Vendor is VAT-registered.
Quscout may, in the future, provide Vendors with a tool to help generate compliant invoices (the "Invoice Tool"). Where used, an invoice generated through the Invoice Tool will display the Vendor's name, logo, and VAT registration number (where applicable) as the seller, together with standard consumer-protection information such as applicable return and warranty terms. The Invoice Tool is a document-generation utility only: Quscout does not thereby become the seller, the issuer of the invoice, or a party to the underlying sale, and the Vendor remains solely responsible for the accuracy of the invoice and for fulfilling the transaction it records.
Quscout may in the future enable payment to be facilitated through a licensed third-party payment services provider. Where this is introduced, payment will be structured to flow directly between the Buyer and the Vendor through that provider's licensed payment infrastructure; Quscout does not intend to receive, aggregate, or hold Buyer or Vendor funds at any stage. Any such facilitated payment feature will be governed by additional terms published at the time, and by the relevant payment provider's own terms.
Delivery of materials is arranged and carried out directly by the Vendor. Quscout does not manage, guarantee, or take responsibility for delivery timing, condition of goods on arrival, correct quantity, or conformity of delivered materials with the Quotation.
Buyers are responsible for inspecting materials at the time of delivery, before accepting delivery, and should raise any concerns regarding damage, shortfall, or non-conformity directly with the Vendor. Quscout is not responsible for resolving disputes relating to damaged goods, non-delivery, short delivery, or materials that do not match what was promised, as these matters are solely between the Buyer and the Vendor.
To help maintain a trustworthy marketplace, the Platform allows a Buyer to submit a rating and review of a Vendor following a completed order, that is, an order arising from an accepted Quotation. Only Buyers with a genuine completed order with a Vendor may submit a rating or review of that Vendor, so that ratings reflect real customer experience.

Quscout may investigate suspected violations and may warn, suspend, or terminate the account of any User who breaches these Terms.
The Platform, including its software, design, trademarks (including the Quscout name and logo), and all content provided by Quscout (excluding User Content), is owned by or licensed to Quscout and is protected by applicable intellectual property laws. Users are granted a limited, non-exclusive, non-transferable licence to access and use the Platform in accordance with these Terms. No other rights are granted.
Quscout may suspend or terminate a User's access to the Platform, with or without notice, where we reasonably believe a User has breached these Terms, provided false information, engaged in fraudulent or harmful conduct, failed to maintain a valid trade licence (for Vendors), or where required by law. A User may close their account at any time by contacting us.
Where Quscout reasonably believes a User's conduct may violate applicable UAE law, Quscout may, at its discretion, report the relevant conduct and information to the competent UAE authorities, in addition to suspending or terminating that User's account. This is separate from, and does not replace, any right or obligation a User may independently have to report unlawful conduct.
Sections of these Terms that by their nature should survive termination (including Sections 4, 8, 10, 11, 18, and 19) will continue to apply.
The Platform may be accessed and used by Buyers and Vendors located outside the United Arab Emirates, including individuals or businesses managing UAE properties or projects from abroad. By using the Platform from outside the UAE, you agree that these Terms, including the governing law and jurisdiction provisions in Section 19, apply to your use regardless of your location. You are solely responsible for complying with any laws applicable to you in your own location, including any import, export, customs, or cross-border trade requirements relevant to materials sourced through the Platform.
To the fullest extent permitted by applicable UAE law, Quscout's liability arising out of or in connection with the Platform is limited to direct damages, and Quscout shall not be liable for any indirect, incidental, or consequential losses, or for any dispute, loss, or damage arising from transactions, deliveries, payments, or Content exchanged between Buyers and Vendors, except where such liability cannot be excluded under mandatory UAE law.
Each User agrees to indemnify and hold Quscout harmless from claims, losses, and expenses arising from that User's breach of these Terms, their Content, or their conduct on the Platform, to the extent permitted by applicable law.
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Any dispute arising out of or in connection with these Terms, or between a User and Quscout, shall be subject to the exclusive jurisdiction of the onshore courts of Dubai, without prejudice to any mandatory consumer protection rights available to a User under UAE law.
Quscout is not a party to, and accepts no responsibility for resolving, any dispute between a Buyer and a Vendor arising from a transaction facilitated through the Platform, including disputes relating to price, quality, delivery, or payment. By using the Platform, a Buyer and a Vendor agree that any such dispute between them shall be resolved by arbitration in Dubai under the rules of the Dubai International Arbitration Centre (DIAC), rather than through litigation, without prejudice to either party's mandatory rights under UAE consumer protection law.
Quscout may update these Terms from time to time. Material changes will be notified through the Platform or by other reasonable means. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
Nothing in these Terms limits any statutory right you have as a consumer under UAE law. For an overview of your rights under UAE consumer protection law, see the "Know Your Rights" section within the Platform.
